Members of Koperasi Ladang Berhad,

It is hereby informed that Koperasi Ladang Berhad has been directed by the Suruhanjaya Koperasi Malaysia (SKM) to obtain confirmation from the Commission prior to the appointment or reappointment of any person as a Member of the Cooperative Board as required by subsection 43(2) of the Cooperatives Act 1993 commencing in 2026.

The criteria for being eligible and suitable as a Board Member as per the guidelines in GP3 by SKM are as follows:-

a)      Honesty, Reputation and Personal Integrity

         A person must have personal excellence such as honesty, integrity, diligence and fairness in his decisions.

• • • • (i)        not be a person against whom proceedings have been initiated and convicted of a registrable offence or an offence under Act 502;
        (ii)       a person who has not contravened any provision of written law until enforcement action is taken;
        (iii)      a person who has not contravened any provision of written law designed to protect members or the public from financial loss resulting from dishonesty, misconduct or incompetence;
        (iv)      a person who is eligible under section 26 of Act 502 to be a member and has not disqualified under section 27 of Act 502 to be a member;
        (v)       a person who has not been subject to disciplinary action, suspended or given a written warning by a regulatory body or professional body;
        (vi)      a person who has not been suspended, dismissed or terminated as a member of the Board by any co-operative society or the Commission;
        (vii)     a person who is not involved in the ownership or management of any Company where the licence, membership or registration of such entity has been cancelled, withdrawn or terminated; and
        (viii)    is not a person who has not disclosed a conflict of interest as required under sections 44A and 44B of Act 502.

b)       Capability and Competence

          A person must have the appropriate skills, experience, ability and commitment to carry out the responsibilities.

• • • • (i)     a person who has the appropriate qualifications, skills, experience and commitment to carry out the duties and responsibilities as a member of the Cooperative Board in accordance with the governance of the Cooperative Nomination Committee; and
        (ii)    a person who has the skills to administer the cooperative more effectively through continuous Education and Training as required by GP5.

c)        Financial Integrity

          A person shall manage his/her financial obligations or position prudently.

• • • • (i)     a person who is capable of meeting financial obligations and has a clean and satisfactory financial record; and
        (ii)    a person who does not have any outstanding debt exceeding six (6) months to any licensed financial institution, cooperative or other financial service provider.

The qualifications to be a Board Member according to the Undang-Undang Kecil Koperasi Ladang Berhad are as follows:-

36.  (1)        No person shall be eligible to be a member of the Board or to remain as a member of the Board, if he–

• • • • • • • • (a)      has been convicted of an offence under the Act;
                (b)      has been dismissed as an officer of a Cooperative;
                (c)      is a member of the Internal Audit Committee of this Cooperative;
                (d)      has a conflict of interest in any activity undertaken by this Cooperative;
                (e)      has not completed a period of two years as a member of a Cooperative that has been registered for more than two years;
                (f)      does not have shares of at least RM1,000.00 (Ringgit : one thousand).
                (g)     has reached the age of 80 years.

       (2)        Notwithstanding clause (5) of by-law 18, a nominee or representative who has been accepted as a member but has not completed a period of two years from the date of acceptance as a member is not eligible to be elected as a member of the Board.

In this regard, members who are interested in becoming candidates for Cooperative Board Members must carry out the following:-

4.      Prospective Cooperative Board Members are also requested to submit the following additional documents:-

      • g) Copy of bank account statement for the most recent three (3) months.

5.      The information in the Nomination Application Form must be typed clearly.

6.      If the space provided is insufficient, additional papers may be attached.

7.     Please complete all required information and state “Tiada” or “Tidak Berkaitan” if the matter is not relevant.

8.     Forms can be photocopied as needed.

Prospective Board Members must first submit a completed application to Koperasi Ladang Berhad no later than 15 March of the current year to be submitted to SKM for verification.

If the nomination application submitted has been approved by SKM, then the validity period of the nomination is valid for three (3) years.

Method of selecting Cooperative Board Members whose term of office expires by rotation

1.     May be re-nominated or filled by candidates elected from among the Delegates present at the Delegates’ General Meeting provided that they have passed verification by SKM.
2.     Cooperative Board Member Candidates may choose only one option, either to contest as a State Representative Candidate or an Independent Representative Candidate.
3.     The election will be carried out by a vote deemed appropriate by the Delegates present at the General Meeting.
4.     If the Cooperative Board Member whose term of office expires is a State Representative, then the Cooperative Board Member Candidate who wishes to contest must be from the same State.
5.    If the Cooperative Board Member whose term of office expires is an Independent Representative, then the Cooperative Board Member Candidate who wishes to contest is open to all States.
